Product Use Agreement

Please read this Product Use Agreement (“Agreement”) carefully before using the Product. By accessing or using the Product, you agree to be bound by this Agreement. If you do not agree to these terms, do use the Product.

1. Definitions

“Macrosite,” “we,” “our,” and “us” refer to the owner and operator of the Product.

“Product” means the web-based application, website, services, features, APIs, documentation, and related online functionality provided by Macrosite.

“User,” “you,” and “your” refer to any individual or organization accessing or using the Product.

“Content” means any information, files, text, images, data, software, code, audio, video, or other materials submitted, uploaded, generated, or displayed through the Product.

2. License to Use

Subject to this Agreement and any applicable subscription or service plan, Macrosite grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Product solely for its intended purposes.

No ownership rights are transferred to you.

3. Eligibility

You must be legally capable of entering into binding agreements in your jurisdiction.

If you use the Product on behalf of an organization, you represent that you have authority to bind that organization to this Agreement.

You retain ownership of Content you submit.

You grant Macrosite a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, transmit, display, and use your Content solely for the purpose of operating, maintaining, securing, improving, and providing the Product.

You represent that you have all necessary rights to submit your Content.

Macrosite is not responsible for User Content.

7. Privacy

Your use of the Product is subject to Macrosite’s Privacy Policy.

8. Intellectual Property

The Product, including software, interfaces, documentation, trademarks, logos, designs, graphics, and other materials, is owned by Macrosite or its licensors and is protected by intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, create derivative works from, or exploit any portion of the Product.

9. Feedback

If you provide suggestions, comments, or feedback regarding the Product, you grant Macrosite a perpetual, worldwide, irrevocable, royalty-free license to use that feedback without restriction or compensation.

10. Availability

The Product may be modified, updated, suspended, or discontinued at any time.

Macrosite does not guarantee uninterrupted or error-free availability.

Maintenance, outages, and technical issues may temporarily affect access.

11. Third-Party Services

The Product may integrate with third-party services.

Macrosite is not responsible for third-party products, services, websites, or content.

Your use of third-party services is governed by their own terms.

12. Subscription and Payment

You are granted access and use to the Product without need for a subscription or payment.

13. Trial Services

Trial, beta, preview, or evaluation services may be provided “as is” without warranties and may be modified or discontinued at any time.

14. Updates and Changes

Macrosite may update the Product, including features, functionality, security measures, and supported technologies.

Continued use of the Product after updates constitutes acceptance of those changes.

15. Security

Macrosite implements reasonable security measures but cannot guarantee that the Product will always be secure or free from vulnerabilities.

You are responsible for protecting your own systems and data.

16. Data Retention

Macrosite may delete inactive accounts or stored data in accordance with applicable policies or legal requirements.

You are responsible for maintaining backups of your Content unless otherwise expressly agreed.

17. Suspension and Termination

Macrosite may suspend or terminate access immediately if:

Termination does not affect rights or obligations accrued before termination.

18. Disclaimers

THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MACROSITE DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THAT THE PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, OR MEET YOUR REQUIREMENTS.

19. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MACROSITE SHALL NOT BE LIABLE FOR:

MACROSITE’S TOTAL LIABILITY ARISING FROM THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE PRODUCT DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS (US $100), WHICHEVER IS GREATER.

You agree to defend, indemnify, and hold harmless Macrosite, its affiliates, employees, officers, directors, contractors, licensors, and agents from claims, damages, liabilities, losses, and expenses arising from:

You agree to comply with all applicable export control and sanctions laws governing access to and use of the Product.

22. Compliance with Laws

You are responsible for complying with all laws applicable to your use of the Product.

23. Governing Law

This Agreement shall be governed by the laws of the jurisdiction specified by the Macrosite, without regard to conflict of law principles.

24. Dispute Resolution

Before filing legal action, the parties agree to make reasonable efforts to resolve disputes through good-faith negotiations.

Where permitted by law, disputes may be resolved through binding arbitration.

Nothing prevents either party from seeking injunctive relief for intellectual property or confidentiality violations.

25. Changes to this Agreement

Macrosite may revise this Agreement from time to time.

Material changes will become effective after reasonable notice through the Product or by other appropriate means.

Continued use of the Product after the effective date constitutes acceptance of the revised Agreement.

26. Entire Agreement

This Agreement constitutes the entire agreement between you and Macrosite regarding the Product and supersedes prior agreements relating to the same subject matter.

27. Severability

If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.

28. Waiver

Failure to enforce any provision shall not constitute a waiver of future enforcement.

29. Assignment

You may not assign or transfer this Agreement without Macrosite’s prior written consent.

Macrosite may assign this Agreement in connection with a merger, acquisition, corporate reorganization, or sale of assets.
